Terms of Service

These Terms of Service ("Terms") govern your use of services provided by adaptiveintellects ("we," "us," or "our"), located at Frederiksgade 35, 8000 Aarhus C, Danmark, Danmark. By engaging our services, you ("Client") agree to be bound by these Terms.
1. Scope of Services
adaptiveintellects provides cloud infrastructure services including but not limited to: virtual server provisioning, network architecture design, CDN optimization, DDoS mitigation, cloud migration, SSL certificate management, infrastructure monitoring, and DevOps/CI/CD pipeline setup. The specific scope, deliverables, and timelines for each engagement will be defined in a written agreement or statement of work ("SOW") between the parties.
2. Account Registration
Certain services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3. Service Levels and Uptime
We commit to a target uptime of 99.99% for provisioned services as measured on a monthly basis. Scheduled maintenance windows will be communicated at least 48 hours in advance. Exclusions from uptime calculations include force majeure events, client-caused outages, and planned maintenance. SLA credits may apply as defined in the applicable SOW.
4. Payment Terms
All fees are as quoted in the applicable SOW or on our pricing page. Payment is due within 14 days of invoice date unless otherwise specified. Late payments accrue interest at a rate of 1.5% per month. All prices are exclusive of VAT, which will be charged where applicable.
5. Client Obligations
The Client shall: (a) provide accurate and complete information required for service delivery; (b) ensure timely access to necessary systems and credentials; (c) comply with all applicable laws and regulations in their use of the services; (d) not use the services for any unlawful purpose, including but not limited to hosting malicious content, launching attacks, or distributing spam.
6. Intellectual Property
Upon full payment, the Client receives a non-exclusive, perpetual license to use all deliverables created specifically for the Client under an SOW. adaptiveintellects retains all rights to pre-existing intellectual property, tools, frameworks, and methodologies used in service delivery.
7. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party during the engagement. This obligation survives termination of the service relationship for a period of 3 years.
8. Limitation of Liability
To the maximum extent permitted by applicable law, adaptiveintellects shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the services. Our total aggregate liability shall not exceed the total fees paid by the Client for the services giving rise to the claim during the 12 months preceding the event.
9. Termination
Either party may terminate with 30 days' written notice. adaptiveintellects may terminate immediately if the Client breaches material obligations or uses services for unlawful purposes. Upon termination, all outstanding fees become immediately due, and we will provide reasonable assistance in data export within 30 days.
10. Governing Law
These Terms are governed by the laws of Denmark. Any disputes shall be resolved by the courts of Aarhus, Denmark, unless otherwise agreed in writing.
11. Amendments
We reserve the right to amend these Terms. Material changes will be communicated at least 30 days in advance via email. Continued use of services after changes take effect constitutes acceptance.
Refund Policy

This Refund Policy outlines the terms and conditions under which adaptiveintellects ("we," "us," or "our"), located at Frederiksgade 35, 8000 Aarhus C, Danmark, Danmark, provides refunds for services rendered.
1. General Policy
Due to the nature of cloud infrastructure services, which involve significant engineering effort, resource provisioning, and custom configuration, refunds are evaluated on a case-by-case basis. We are committed to resolving any service dissatisfaction before issuing refunds.
2. Eligibility for Refund
A refund may be issued in the following circumstances:
- Services were not delivered as described in the Statement of Work (SOW) and the issue cannot be remediated within a reasonable timeframe.
- Duplicate payment was made in error.
- Service cancellation occurs within 72 hours of purchase and no significant work has commenced.
- The service failed to meet the agreed SLA (Service Level Agreement) and SLA credits are applicable.
3. Refund Process
To request a refund, contact us at [email protected] with your order number, a description of the issue, and any supporting evidence. We will acknowledge receipt within 2 business days and provide a decision within 14 business days.
4. Non-Refundable Items
- Services that have been fully delivered and accepted by the Client.
- Work completed under approved change requests.
- Third-party costs incurred on the Client's behalf (e.g., domain registrations, premium SSL certificates, cloud provider fees).
- Late payment fees and interest charges.
5. Refund Method
Approved refunds will be processed using the original payment method within 10 business days. If the original payment method is unavailable, an alternative method will be arranged in consultation with the Client.
6. Disputes
If you disagree with a refund decision, you may escalate the matter by contacting us in writing. We will review the matter internally within 10 business days. If the dispute remains unresolved, you may seek recourse through the applicable legal channels in Denmark.
